If you have signed an agreement with CureCloudMD (e.g. Medical Billing Agreement, EHR End User License Agreement, Medical Transcription Agreement, the terms and conditions of that agreement(s) impact the event of a direct conflict between said agreement (s) and the TCU. However, the TCU doesn’t conflict with the terms and conditions of any other agreement between our users and CureCloudMD (e.g. Medical Billing Agreement, EHR End User License Agreement, Medical Transcription Agreement), the TCU shall ensure your commitment to CureCloudMD.
Every user is responsible for his/her decision to access or utilize curecloudmd.com. CureCloudMD has no liability for or relating to the delay, failure, interruption, loss or corruption of any kind of data or information collected from the user while he/she navigates through curecloudmd.com (as mentioned earlier it includes all web pages, hyperlinks, content, services, options and contact forms). Curecloudmd.com, its subsidiaries, employees, agents, officers, licensors and assigns extended to its fullest legally, disclaim all warranties, either express or implied, statutory or otherwise, including but not limited to the implied warranties of merchantability, non-infringement of third parties rights and fitness for a particular purpose.

Every user agrees not to display or use our trademarks without our prior permission. Every user is encouraged not to take anything contained on curecloudmd.com as granting, by implication, estoppel or otherwise, any license or right to use any trademark displayed on curecloudmd.com without the written permission of CureCloudMD or such third party that may own the trademarks displayed on curecloudmd.com.
In order to access and use some of our services and content on curecloudmd.com, you have to provide your name, email or other credentials. You are solely responsible for maintaining the confidentiality of your information and account name(s). Also, you are fully responsible for all activities that occur under your name.

The TCU is an agreement between you and CureCloudMD that entirely governs your use of corecloudmd.com expert other foregoing agreement mentioned in the section (RELATIONSHIP TO OTHER AGREEMENTS). CureCloudMD may revise, update or add something to the TCU over time and your continued use of curecloudmd.com will confirm that you’ve already acknowledged and accepted the updated TCU.
You agree to defend, indemnify and hold CureCloudMD, its employees or other stakeholders harmless from and against any claims, actions, demands, liabilities, or settlements, including without limitation, reasonable legal and accounting fees resulting from, or alleged to result from, your violation of the TCU.
The TCU shall be interpreted, constructed and enforced in all respects in accordance with the laws of the State of California. The parties (CureCloudMD and the user) irrevocably agree that any sanction to enforce the provision of the TCU or arising under or by reason of the TCU shall be brought solely in the Superior Court of California.
If you have signed another agreement with CureCloudMD (e.g. Medical Billing Agreement, EHR End User License Agreement, Medical Transcription Agreement, etc.), you’ll be exclusively able to access our web-based software solutions (here referred to as “Premium Software”) that are not available to public users who haven’t signed any agreement for medical billing, transcription, eligibility verification, EHR or related services. Pursuant to the agreement(s) governing said Premium Software, CureCloudMD gives you a personal, non-transferable and non-exclusive right and license to use the object code of curecloudmd.com (including its related software, downloads, content services, etc.) on a single computer; provided that You don’t (and don’t allow any third party to) copy, modify, create a derivative work from code, sell, assign, sublicense or otherwise transfer any right in the Premium Software.
You also agree not to modify the Premium Software in any manner or form or to use modified versions of the Premium Software. You may only use this Premium Software within the United States or one of its territories. Please remember that it is your responsibility to ensure that Your license to use the Program isn’t misused or misappropriated by a third party. Your license to use the Program will be immediately terminated due to the following reason:

The failure of CureCloudMD to exercise or enforce any right or provision of the TCU shall not be considered a waiver of such right or provision. If the court of competent jurisdiction finds any provision of the TCU to be invalid then the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provision of the TCU remains in full force and effect.
You agree that you’ll file a case or claim of any action arising out of or related to CureCloudMD within the one (1) year after such claim or action arose. If such a claim or cause of action is not filed within the said (one) year time period then the case or claim shall be barred forever.
